PAYMENT & REFUND POLICY

North American Tutors Inc.

1. SCOPE & ACCEPTANCE

This Payment & Refund Policy ("Policy") is a legally binding agreement between you (the "Client," "Student," or "Parent/Guardian") and North American Tutors Inc., a federally incorporated Canadian corporation ("NAT," "we," "us," or "our").

This Policy applies to all tutoring services, test preparation programs, mentorship sessions, and any other educational offerings provided by NAT, whether purchased online, via email, by phone, or through any authorized representative.

By making a payment, booking a session, confirming an enrollment, or continuing to use NAT's services after being directed to this Policy, you are deemed to have accepted all terms herein โ€” regardless of whether you have explicitly signed this document. This Policy is incorporated by reference into any agreement, invoice, or service confirmation issued by NAT.

If a session is booked on behalf of a minor, the parent or legal guardian agrees to these terms personally and on behalf of the student.

2. PAYMENT TERMS

All fees are due in full prior to the commencement of any tutoring session or program unless a separate written payment arrangement has been confirmed by NAT in writing.

NAT reserves the right to withhold or suspend services for any account with an outstanding balance. Accounts overdue by more than seven (7) calendar days may be suspended without prior notice.

All fees are quoted and charged in United States Dollars (USD) unless explicitly stated otherwise in writing.

Invoices that remain unpaid for more than fourteen (14) calendar days from the due date may be subject to a late fee of 5% per month, compounded monthly, on the outstanding balance.

NAT reserves the right to modify its pricing at any time. Price changes will not affect sessions or packages already paid for in full at the time of confirmation.

3. CANCELLATION & RESCHEDULING POLICY

NAT tutors are professionals who allocate dedicated time for each Client. Late cancellations and no-shows directly harm tutors and compromise NAT's ability to serve other students. The following cancellation fees apply:

One-Time Courtesy Waiver: NAT may, at its sole and absolute discretion, waive the cancellation fee on one (1) occasion per client relationship. This waiver is a courtesy and does not create any obligation or precedent for future waivers. Requesting a waiver does not guarantee one will be granted.

Rescheduling requests must be submitted in writing via email. Verbal requests are not binding.

NAT reserves the right to cancel or reschedule any session due to tutor illness, unforeseen circumstances, or events beyond NAT's reasonable control. In such cases, the Client will receive a session credit of equal value for the unused session. No monetary compensation is owed for NAT-initiated cancellations.

4. NO-REFUND POLICY

All sales are final. North American Tutors does not issue monetary refunds under any circumstances, except as required by applicable law that cannot be contractually excluded.

This no-refund policy applies in all of the following circumstances, without limitation:

โ—      The Client is dissatisfied with a tutor's teaching style or personality

โ—      The Client does not achieve a desired test score, grade, or academic outcome

โ—      The Client decides to discontinue services for any personal reason

โ—      The Client has a change in schedule, availability, or academic plans

โ—      The Client purchases a package and does not use all sessions

โ—      The Client finds alternative tutoring services

โ—      Technical difficulties or connectivity issues on the Client's end during an online session

โ—      The Client misunderstood the scope or nature of services at the time of purchase

โ—      The Client disputes the effectiveness of the instruction

โ—      Any other reason not explicitly covered in Section 5 of this Policy

By proceeding with payment, the Client expressly acknowledges this no-refund policy and waives any claim to a monetary refund except as mandated by statute.

5. SESSION CREDITS โ€” ELIGIBILITY & CONDITIONS

In lieu of refunds, NAT may, at its sole and absolute discretion, issue account credits ("Session Credits") redeemable toward future NAT services only. The issuance of a credit in one instance does not obligate NAT to issue credits in any future instance.

Session Credits may only be considered in the following narrow circumstances:

โ—      Verified billing error: Verified billing error (duplicate charge or system error originating from NAT): up to 100% of the erroneous charge. Must be reported within 7 days of the charge.

โ—      NAT-initiated cancellation: NAT-initiated cancellation with less than 48 hours notice and no replacement session offered: 100% of the affected session.

โ—      Confirmed tutor no-show: Confirmed tutor no-show (no contact from tutor within 15 minutes of the scheduled start time): 100% of the affected session. Client must notify NAT within 24 hours via email.

The following conditions apply to all credits issued:

โ—      Credits expire 90 days from the date of issuance and cannot be extended

โ—      Credits are non-transferable and may only be used by the original account holder

โ—      Credits have no cash value and cannot be exchanged for money

โ—      Credits cannot be applied to overdue balances

โ—      NAT reserves the right to deny a credit request if the Client is in breach of any NAT policy

โ—      Credit requests must be submitted in writing within 7 calendar days of the incident; requests submitted after this period will not be considered

NAT's decision on credit eligibility is final. NAT will provide a written response to all credit requests within ten (10) business days.

6. PACKAGE & SUBSCRIPTION TERMS

Clients who purchase multi-session packages agree to the following:

โ—      Package sessions expire one (1) year from the date of purchase. Expired sessions are forfeited with no credit, extension, or refund.

โ—      Package pricing reflects a bundled discount. If a Client discontinues mid-package, sessions already delivered will be retroactively re-priced at the standard per-session rate and any difference will be applied as a balance owing โ€” not a credit.

โ—      Packages are non-transferable and for the use of the enrolled student only.

โ—      NAT does not guarantee a specific tutor assignment within a package. If a tutor becomes unavailable, NAT will make reasonable efforts to assign a comparable replacement.

โ—      Package pauses may be requested in writing and granted at NAT's sole discretion. A maximum pause of 30 days may be approved once per package. Pauses do not reset the expiry date.

7. DISCLAIMER OF RESULTS

NAT makes no guarantees, representations, or warranties regarding academic outcomes, test score improvements, college admissions results, or any other measurable educational metric.

Educational outcomes depend on numerous factors outside NAT's control, including but not limited to: the student's prior knowledge, effort, attendance, personal circumstances, test-day performance, and the inherent variability of standardized testing.

Any historical performance statistics or score improvement examples referenced in NAT's marketing materials are for illustrative purposes only and do not constitute a guarantee of similar outcomes. No NAT employee, tutor, or representative is authorized to promise a specific score, grade, or result.

Dissatisfaction with academic results does not constitute grounds for a refund, credit, or any other form of compensation.

8. CHARGEBACKS & DISPUTES

By accepting this Policy, the Client agrees to contact NAT directly at [email protected] to resolve any billing concern before initiating a chargeback, dispute, or claim with their payment provider, bank, or credit card issuer.

Any chargeback initiated by a Client for services rendered in accordance with this Policy โ€” or for fees legitimately charged under this Policy, including cancellation fees โ€” constitutes a material breach of this agreement. NAT reserves the right to immediately suspend or terminate the Client's access to services, pursue recovery of the disputed amount plus associated chargeback fees and legal costs, report the debt to a collections agency, and dispute the chargeback with full supporting documentation.

NAT maintains detailed records of all sessions, communications, and payments. These records will be submitted in full as evidence in any payment dispute.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, NAT's total liability to any Client for any claim shall not exceed the total fees paid by that Client in the thirty (30) days immediately preceding the event giving rise to the claim.

NAT shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of opportunity, college admission outcomes, lost profits, or reputational harm.

NAT is not responsible for losses arising from internet outages, third-party platform failures, force majeure events, or any circumstances beyond NAT's reasonable control.

10. MODIFICATIONS TO THIS POLICY

NAT reserves the right to modify, update, or replace this Policy at any time without prior individual notice. The updated Policy will be posted on NAT's website with a revised date. Continued use of NAT's services after any modification constitutes acceptance of the revised Policy. It is the Client's responsibility to review this Policy periodically.

11. GOVERNING LAW & CONTACT

This Policy is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute arising under this Policy shall be subject to the exclusive jurisdiction of the courts of British Columbia.

This Policy does not limit any rights you may have under applicable consumer protection legislation that cannot be excluded by contract. If any provision of this Policy is found to be unenforceable, the remaining provisions continue in full force.
